Terms of Service

1. Acceptance of Terms

By accessing or using Nainty ("the Service"), operated by Nainty Pty Ltd (ABN pending) ("we", "us", "our"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Nainty is an AI-powered business operating system for independent consultants and solopreneurs. The Service includes:

  • Invoicing, proposals, contracts, and payment processing
  • Client relationship management (CRM) with health scoring
  • Project and task management
  • Smart forms, client journeys, and workflow automation
  • Context-aware scheduling with AI meeting briefs
  • Financial reporting, expense tracking, and mileage logging
  • AI-powered intelligence features (proposals, reports, recommendations)
  • Client portal for document sharing and e-signatures
  • Bank feed integration and payment plan management

3. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate information. One organisation per account; multiple team members may be invited under Business and Enterprise plans.

4. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

  • Use the Service for any illegal activity
  • Abuse AI features (prompt injection, circumventing safety controls)
  • Send spam or unsolicited communications via the messaging features
  • Scrape, reverse-engineer, or resell the Service or its API
  • Exceed published rate limits intentionally
  • Store illegal or harmful content

5. Payment Terms

A free tier is available with limited features. Paid plans (Pro, Business, Enterprise) are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial months. Prices may change with 30 days' notice.

6. Data Ownership

You own all data you create in the Service (invoices, clients, proposals, contracts, projects, expenses, and all other business data). We do not claim ownership of your content. You grant us a limited licence to process your data solely for the purpose of providing the Service. Your data is portable — you may export all data at any time via the full data export feature.

7. AI Features

The Service uses AI (powered by Anthropic Claude) for proposals, form generation, workflow steps, report commentary, and recommendations. Important:

  • Your data is processed through a PII redactor before reaching AI models — personal identifiers are stripped.
  • Your data is NOT used to train AI models. Anthropic's API does not use input data for training.
  • AI outputs are suggestions, not directives. You retain full control over all business decisions.
  • AI features are subject to usage limits based on your plan tier.

8. Electronic Signatures

The Service includes e-signature functionality for proposals and contracts. E-signatures executed through Nainty are intended to be legally binding under the Electronic Transactions Act 1999 (Cth) and equivalent state and territory legislation. Each signature is SHA-256 hashed with an immutable audit trail. See our E-Signature Statement for details.

9. Third-Party Integrations

The Service integrates with third-party services (Stripe, Plaid, Google, Microsoft, QuickBooks, Xero, and others). These connections are voluntary. We are not responsible for third-party service outages or data handling. Circuit breakers provide graceful degradation when third-party services are unavailable. 10. Service Level Agreement

We target 99.9% monthly uptime. See our SLA for details on availability targets, credit schedule, and incident response times.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

12. Indemnification

You agree to indemnify us against any claims arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.

13. Termination

Either party may terminate at any time. On termination, your data remains available for export for 30 days. After 30 days, data is permanently deleted. We may terminate or suspend your account immediately for violation of these terms or the Acceptable Use Policy.

14. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved first through good-faith mediation, and if unresolved, through the courts of New South Wales.

15. Changes to Terms

We may update these terms with 30 days' notice via email to your registered account email. Continued use after the notice period constitutes acceptance.
